Board Adjustments Announced by Grocery Outlet

In a move aimed at enhancing its leadership and driving strategic growth, Grocery Outlet Holding Corp. has announced the appointment of Michael Kobayashi and Lawrence "Chip" Molloy to its board of directors.

Michael Kobayashi, with decades of leadership experience in the retail industry, particularly in driving operational excellence and leading large-scale technology transformations, will bring his wealth of knowledge to the table. Kobayashi started his career at Accenture consulting firm and was a partner there from 2000 to 2004. He has also held positions such as president and chief capability officer, and president of operations and technology at Ross Stores, Inc. Currently, Kobayashi serves as an advisor to Ross Stores, Inc.

Chip Molloy, a familiar name in the grocery industry, most recently held the CFO role at Sprouts Farmers Market, Inc. Molloy holds an MBA from the University of Virginia and a bachelor of science degree in computer science from the United States Naval Academy. With proven financial leadership experience at growth-oriented retailers, Molloy's expertise will complement efforts to sharpen focus on further driving strong investment returns and greater profitability. Molloy has also served as interim CEO at Torrid Holdings Inc., CFO at Under Armour, Inc., and CFO of PetSmart LLC.

The appointments come as Kenneth Alterman and Thomas Herman retire from the board of directors. Alterman and Herman, with their contributions, have shaped Grocery Outlet into the resonant brand it is today and set the business on a path to deliver sustainable, profitable growth in the years to come.

The appointments will see Kobayashi and Molloy also serve on the board's audit and risk committee. After their departure, eight of the 10 board members will be independent.

Grocery Outlet, based in Emeryville, Calif., offers products sold through a network of independently operated stores at more than 520 locations in multiple states. The company is No. 65 on The PG 100, Progressive Grocer's 2025 list of the top food and consumables retailers in North America.

The company continues to vie for its share of consumers' wallets, with net sales growing 8.5% during the first fiscal quarter that ended in late March, and a 31.7% gain in adjusted EBITDA. The board update does not include any mention of lawsuits or appointments of other executives.

Eric Lindberg, the chairman of Grocery Outlet's board of directors, has announced the changes, reflecting the company's commitment to periodic board refreshment and focus on executing its growth plan and enhancing shareholder value.
