Get ready for a new powerhouse in the streaming and TV landscape! RTL Germany has announced it's acquiring Sky Germany, with a strategic agreement in place. The merger of these two media giants along with their streaming service, WOW, promises an unrivaled entertainment experience across streaming, free TV, and pay TV services.

An impressive 11.5 million paying subscribers will be at the disposal of this combined entity, making it a force to be reckoned with in the German-speaking media market.

The deal values Sky Germany at an initial €150 million, with additional contingent payments capped at €377 million depending on RTL Group’s share price performance in the future.

"We're stoked about the acquisition of Sky Germany," declared Stephan Schmitter, CEO of RTL Germany. "By combining our strengths, we're creating a leading streaming and TV platform." Sky uplifts RTL's dominance in sports, boasting Bundesliga and Formula 1 rights, while RTL stands strong in entertainment and news.

This deal allows RTL Group to diversify its revenue streams, aiming for prosperous growth in subscription fees, content distribution, and advertising. Associated annual synergies are projected to reach €250 million within three years, enhancing shareholder value and operational efficiency.

While competition and media concentration authorities must still approve the purchase, the approval process is expected to be completed next year. Upon receiving the go-ahead, RTL Germany will fully acquire the Sky businesses in Germany, Austria, and Switzerland. In addition, the streaming brand WOW will come under RTL Group's ownership as part of the transaction.

The merger places the combined entity on par with the largest US streaming services in terms of paying subscribers and streaming revenues.
