Law firm ADVANT Beiten provides guidance to the Laumann Group in their public acquisition of the Epwin Group.
The building products market is set for significant consolidation with the announced all-cash acquisition of Epwin Group plc by Laumann Group. Valued at approximately £167 million, the takeover offers 120 pence per share, representing a 32% premium above Epwin's recent share price. The deal is expected to complete in the fourth quarter of 2025 or possibly early 2026, subject to regulatory approval and shareholder approval via a scheme of arrangement.
Epwin's board has unanimously recommended the offer, viewing it as fair and reasonable. The acquisition consolidates Laumann's position in the market, leveraging Epwin's strong brands and market presence complementarily to Laumann's existing operations.
Regarding competition law, Euclid Law is advising Laumann Group on UK competition law aspects of the public takeover. They lead the UK merger control process, working closely with Christoph Heinrich at ADVANT Beiten in Munich. Christoph provides expertise particularly on competition law matters, ensuring Laumann navigates the regulatory landscape effectively. ADVANT Beiten's role is focused on advising on competition law from the German side, assisting in managing the cross-border regulatory requirements of the deal.
Epwin Group, a leading British manufacturer of PVC and aluminum profiles for windows and doors, generates annual revenues of over €380 million. Laumann Group, a family-owned corporate group headquartered in Sendenhorst, Westphalia, generates annual revenues of €1.6 billion and provides building-related solutions and IT services.
In addition to competition law advice, Osborne Clarke is advising on the finance aspects of the Epwin Group takeover, with Olexiy Oleshchuk specifically handling these matters. ADVANT Beiten is also advising on the future integration of Epwin Group into the Laumann Group. In-house legal advisors Björn Baltes and Raphael Nießen are also involved in the takeover.
