Maspex Group Strengthens Position in Premium Beverage Market with Acquisition of Purcari Wineries
Maspex Group, one of the largest food and beverage producers in Central and Eastern Europe, has made a significant step in its long-term strategy to consolidate and expand its presence in the premium beverage segment with the acquisition of Purcari Wineries.
The acquisition, which was facilitated by a tailored cross-border loan from PKO Bank Polski S.A. Varsovia, marks a strategic move to strengthen Maspex Group's position in the Romanian market, its second-largest after Poland.
Purcari Wineries, the leading wine producer in Central and Eastern Europe, manages over 2000 hectares of vineyards and operates six wineries across Moldova, Romania, and Bulgaria. It is also the largest exporter of bottled wine from Moldova.
PKO Bank Polski S.A. Varsovia's Romanian branch played a pivotal role in the deal, extending a loan that was instrumental in enabling Maspex Romania to acquire control of Purcari Wineries via a voluntary public takeover offer on the Bucharest Stock Exchange. The loan was structured under Polish law but coordinated to comply with Romanian regulatory requirements.
The legal team from PKO Bank Polski S.A. Varsovia's in-house legal department, led by counsel Jacek Smardzewski, ensured compliance with both Polish and Romanian legal frameworks and regulatory requirements. The team included associate Michał Rutkowski and lawyer Natalia Rybak, with Grzegorz Dyczkowski, head of the Warsaw office and the firm's Warsaw banking and finance practice, supervising the team.
The global law firm Norton Rose Fulbright advised PKO Bank Polski on this financing arrangement, ensuring compliance with both Polish and Romanian laws.
