Revamped ProSiebenSat.1 Supervisory Board Due to MFE's Intervention

ProSiebenSat.1, the German media conglomerate, is set to appoint two new members to its Supervisory Board following court procedures. This comes after the resignation of Klára Brachtlová, representing Czech investment group PPF, and independent member Christoph Mainusch, effective from September 18, 2025.

The departures of Brachtlová and Mainusch are directly tied to MFE-MediaForEurope's recent acquisition of a 75.61% stake in ProSiebenSat.1. The two new appointees, yet to be disclosed, will reflect MFE's increased participation in the company and will replace Brachtlová and Mainusch.

Maria Kyriacou, Chairwoman of the Supervisory Board, thanked the departing members for their contributions to the company's digital transformation. Christoph Mainusch, who was proposed by PPF Group for election as a member of the Supervisory Board at the AGM on 30 April, 2024, will be missed.

The reshuffling of ProSiebenSat.1's Supervisory Board marks a key early step in MFE's plan to consolidate influence and integrate the broadcaster into its wider European media group. However, the proposed split-up of ProSiebenSat.1, as suggested by MFE-MediaForEurope, did not receive the required majority at the AGM in Munich.

Both the Executive Board and the Supervisory Board of ProSiebenSat.1 have concluded, following a review of the offer document dated 8 May 2025, that the takeover offer made by MFE-MediaForEurope is not in the best interest of the company.

Despite the proposed change in leadership, shareholders are urged not to accept the voluntary public takeover offer made by MFE-MediaForEurope. The future of ProSiebenSat.1 remains uncertain, but one thing is clear: the broadcaster is undergoing significant changes as it navigates the complex world of media consolidation.
