Vodafone secures majority control over Telekom Romania Mobile Communications following competition approval of the transaction

In a significant development, Vodafone Romania and Digi Romania have finalized the acquisition of Telekom Romania Mobile Communications (TKRM) assets, following approval from the Romanian Competition Council (RCC) in July 2025. The deal, initially struck in October 2024, sees Vodafone Romania acquiring TKRM's postpaid customers, business clients, retail stores, technical network infrastructure, and staff, while Digi Romania takes over TKRM's prepaid business, certain spectrum rights, and a portion of the tower assets.

To address competition concerns, both Vodafone and Digi have committed to several measures. They have agreed to invest in network development to improve mobile coverage and data quality, particularly along major public roads and in areas with weak signals. The companies have also pledged to maintain the prepaid services under existing contract terms and offer enhanced access for mobile virtual network operators (MVNOs) on their networks at competitive rates. They must guarantee Orange Romania's access to co-location services on mobile sites.

The Romanian Competition Council and the National Authority for Management and Regulation in Communications (ANCOM) will jointly oversee the compliance of Vodafone and Digi with these commitments for up to four years. Failure to comply could result in fines of up to 10% of the companies' turnover from the previous financial year. A trustee will be appointed to report on compliance matters to the Competition Council.

The finalization of the transaction is still subject to the agreement of final terms and certain regulatory approvals from ANCOM. In 2024, TKRM, previously owned by OTE (majority owned by Deutsche Telekom), generated €263.3 million in revenues, down 8.2% year on year, with adjusted EBITDA falling to €1.1 million.

Digi Romania, a part of Digi Communications (BVB: DIGI), will continue offering prepaid services to all consumers under the same conditions as TKRM. Meanwhile, Vodafone Romania will continue serving its postpaid and business customers, expanding its customer base to about 2 million postpaid customers.
